SYNC Non-Commercial License
Terms and Conditions for Use, Reproduction, and Distribution
1. Definitions

"License": This document.
"Licensor": Asheesh Yadav, Harry Gabbi, Tushar Singh, Olayinka emmanuel Kolawole
"Software": SYNC, including all associated documentation, software code, binaries, and other files.
"Licensee": Any person or organization using the Software.
"Non-Commercial Use": Use of the Software for personal or academic purposes only, excluding any commercial purposes or any activity that generates revenue.
2. License Grant

Subject to the terms and conditions of this License, Licensor hereby grants Licensee a worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for Non-Commercial Use.

3. Restrictions

No Distribution: Licensee shall not distribute, sublicense, or otherwise make the Software available to any third party.
No Commercial Use: Licensee shall not use the Software for any commercial purpose.
No Modifications: Licensee shall not modify, adapt, or create derivative works of the Software.
No Reverse Engineering: Licensee shall not reverse engineer, decompile, or disassemble the Software.
4. Intellectual Property

The Software, including all intellectual property rights therein, is and shall remain the property of Licensor. Licensee acknowledges that no title to the intellectual property in the Software is transferred to Licensee.

5. Termination

This License is effective until terminated. Licensee's rights under this License will terminate automatically without notice from Licensor if Licensee fails to comply with any term(s) of this License. Upon termination of this License, Licensee shall cease all use of the Software and destroy all copies, full or partial, of the Software.

6. Disclaimer of Warranty

The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk as to the quality and performance of the Software is with Licensee.

7. Limitation of Liability

In no event shall Licensor be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

8. Governing Law

This License shall be governed by and construed in accordance with the laws of the United States of America.

9. Entire Agreement

This License constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
