End User License Agreement for MorphCast Sample Apps/Demo Code

IMPORTANT – PLEASE READ THIS PROFESSIONAL-USER LICENSE AGREEMENT (THE “AGREEMENT”) CAREFULLY BEFORE ATTEMPTING TO DOWNLOAD OR USE ANY SOFTWARE, DOCUMENTATION, OR OTHER MATERIALS MADE AVAILABLE THROUGH THIS REPOSITORY. THIS AGREEMENT CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU AS A PROFESSIONAL USER OR THE COMPANY WHICH YOU REPRESENT AND ARE AUTHORIZED TO BIND (the “Licensee” or “You”), AND CYNNY SPA (“Cynny” or “Licensor”) LOCATED AT VIA DELLE MANTELLATE NO. 8, 50129 FIRENZE (ITALY) (“CYNNY”), ENROLLED AT THE BUSINESS REGISTRY OF FLORENCE, VAT NUMBER NO. IT06340560488, D-U-N-S® NUMBER 434193325. BY DOWNLOADING, INSTALLING, OR OTHERWISE USING THE SOFTWARE (AS DEFINED BELOW) YOU ACKNOWLEDGE (1) THAT YOU HAVE READ THIS AGREEMENT, (2) THAT YOU UNDERSTAND IT, (3) THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS AND THE TERM AND CONDITIONS CONTAINED IN THE FOLLOWING LINK REPRESENTED IN THIS AGREEMENT, AND (4) TO THE EXTENT YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY, YOU HAVE THE POWER AND AUTHORITY TO BIND THAT COMPANY.

This Software (as defined below) is licensed to You for use with the MorphCast® HTML5 AI SDK (the “MorphCast SDK”) service only, validly licensed. This Agreement is a license agreement and not an agreement for sale. This Agreement does not grant You a license or any rights to use or distribute the MorphCast SDK. To obtain more information about the MorphCast SDK and/or to obtain a valid license to MorphCast SDK (a “MorphCast SDK License”), please visit www.morphcast.com/sdk/.

You are granted the following limited license rights while You maintain, and are in compliance with the terms of, a valid license to MorphCast SDK.

  1. Software License

    1.1 License Grant. Subject to the terms and conditions set forth in this Agreement, Cynny hereby grants to Licensee and Licensee hereby accepts, a limited, non-transferable, perpetual, sublicensable (solely as set forth in Section 1.2), non-exclusive license (the “License”) to use the software code and documentation which this Agreement accompanied (the “Software”) solely in connection with your licensed use of the MorphCast SDK in compliance with its Terms of Use and Privacy Policy (links available further down in this agreement).

    1.2 Scope of Use. You may use the Software for the purposes of exploring and understanding the capabilities and functionality of the MorphCast SDK. You may also use the Software as a starting point to build or to enhance your applications. You may also embed copies of certain portions of the Software in Your applications that You license and distribute solely in accordance with the requirements set forth in the MorphCast SDK License.

  2. Termination

    This Agreement and the License granted hereunder shall continue for as long as You use the Software in compliance with the terms herein and shall automatically self-terminate upon Your noncompliance with the terms of this Agreement.

  3. Terms of Use and Privacy Policy

    By Your acceptance of the terms of this Agreement and/or use of the Software, You implicitly accept all the terms and conditions of the MorpCast SDK Terms Of Use located at this link: www.morphcast.com/sdktou/ and MorphCast SDK Privacy Policy located at this link: www.morphcast.com/sdkgdpr/
